Amsterdam 21 September 2026 - Azerion Group N.V. (the "Company" or "Azerion") has on 2 October 2025, following the settlement of the Bond Issue, successfully placed a senior secured callable bond issue (the "Bond Issue" or the "Bonds") in an amount of EUR 225 million under a framework of EUR 350 million with ISIN NO0013660357 (the "Bonds"). The Bonds carry floating rate interest of 3m EURIBOR plus a margin of 5.5 per cent. and have a tenor of four (4) years.
The Dutch Authority for the Financial Markets (Autoriteit Financiële Markten (the "AFM")) has on 21 September 2026 approved the prospectus in relation to the admission to trading of the Bonds (the "Prospectus"). The approval of the Prospectus has been notified to the Swedish Financial Supervisory Authority (Sw. Finansinspektionen). The Prospectus will be available on the AFM's website (https://www.afm.nl/en/sector/registers/meldingenregisters/goedgekeurde-prospectussen) and, together with a Swedish translation of the summary of the Prospectus, on the Company's website (https://www.azerion.com/reports/.
The Company will apply for listing of the Bonds on the Corporate Bond List of Nasdaq Stockholm. The are Bonds expected to be admitted to trading at Nasdaq Stockholm on or about 28 September 2026.
